Welcome to the online platform (“Site”) owned and operated by The Academy of Medical Wisdom, LLL, doing business as Wysdom (“we,” “us,” or “our”). Please read these Terms and Conditions of Use (“Terms of Use”) carefully. By accessing or using the Site, by utilizing any of its interactive features or areas (defined below), or by uploading, browsing, or downloading any content (“Content”), you (“you” or “your”) agree to be bound by these Terms of Use and by all policies and guidelines incorporated by reference.

If you do not agree to every provision of these Terms of Use, do not use the Site, do not participate in its interactive features, and do not access any Content.

These Terms of Use govern your use of and access to the Site, its interactive features, and the Content, but do not alter in any way the terms of any other agreement you may have with us or our subsidiaries or affiliates (“Affiliates”) for other products or services. Your use of the Site and its interactive features, and your access to and use of the Content, are expressly conditioned on your agreement to these Terms of Use. If you are using the Site on behalf of any entity, you represent and warrant that you are authorized to accept these Terms of Use on that entity’s behalf, and that the entity will indemnify us for any violations of these Terms of Use.

2. Updates to These Terms of Use

We reserve the right to modify or change any part of these Terms of Use, as well as any policies or guidelines of the Site, at any time and in our sole discretion. Any such changes will become effective immediately upon posting the revised version on the Site. You waive any right to receive specific notice of such modifications. Your continued use of the Site or any of its interactive features, or your continued access to any Content, after the revised Terms of Use are posted, constitutes your acceptance of the modifications. We encourage you to review these Terms of Use frequently so you understand the terms and conditions that apply to your use of the Site. If you do not agree to any changes or modifications to these Terms of Use, your sole recourse is to discontinue your use of the Site.

3. Privacy Policy

We take user privacy seriously. Please refer to our Privacy Policy for details on how we collect, use, and disclose personal information from users of our Site. By using the Site, you acknowledge that you have read, understood, and agree to the Privacy Policy. If you reside in a country outside the United States (including in the European Union), you consent to the transfer and processing of your personal information on servers in the United States.

You consent to receive communications from us electronically, whether via email to the address you provided, by posting general notices on the Site, or by posting messages visible to you upon log-in or access to the Site. 5. Access to the Site

Registration: Before you begin using the Site, you may be required to complete the online registration process by providing accurate, current, and complete information about yourself (“Registration Data”), agreeing to these Terms of Use and our Privacy Policy, and finalizing your registration. By completing this process, you represent that you are at least eighteen (18) years of age, and are in either a healthcare professional or an employee of a medical device company or pharmaceutical company and have the authority to enter into these Terms of Use.

Account Credentials: Upon our acceptance of your registration, we will provide you with log-in credentials (username and password). You are responsible for safeguarding these credentials and preventing unauthorized use. We do not guarantee the continued availability of the Site or your account. We may deny a registration request or terminate or suspend your account at any time, for any reason or no reason.

Your Responsibilities:

  • Maintain the confidentiality and security of your password and login credentials.
  • Promptly update your Registration Data to keep it accurate and complete.
  • Accept the risks of any unauthorized access to your Registration Data or other information you provide to us.
  • You agree that your account is for your sole use. You are prohibited from sharing your username and password or otherwise providing access to the Site to any other individual. Account sharing is a material breach of these Terms of Use and may result in the following consequences:
    • Immediate suspension of your access to the Site.
    • Termination of your account.
    • If your account was obtained through a subscription purchased by your employer or another entity, we reserve the right to notify that employer or entity of the account sharing violation.
  • You agree that you must only post content on the Site using your own legal name. You are expressly prohibited from posting content under the name or account of any other person. Violation of this provision may result in the suspension or termination of your account.
6. Copyright and Intellectual Property

Unless otherwise stated on the Site, the Site and all of its contents—including text, graphics, images, logos, icons, audio or video clips, digital downloads, data compilations, software, and the selection or arrangement thereof (collectively, “Materials”)—are owned by us or by our Affiliates, suppliers, or licensors, and are protected by United States and international copyright laws.

By uploading any Content to the Site, you hereby transfer and assign to The Academy of Medical Wisdom, LLL (d/b/a Wysdom) all right, title, and interest in and to the copyright in such Content. Subject to these Terms of Use, you are granted a limited, non-exclusive license to use the uploaded Content for your own personal, non-commercial purposes. Any other use, reproduction, modification, distribution, or display of the Content requires the express prior written approval of The Academy of Medical Wisdom, LLL (d/b/a Wysdom).

We reserve all rights not expressly granted in these Terms of Use.

7. Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act and other applicable laws, we maintain a policy to terminate accounts of users deemed to be repeat infringers in our sole discretion. We may also limit access to the Site and/or terminate accounts of any users who infringe our intellectual property rights or those of others, whether or not there is any repeat infringement.

8. Copyright Complaints

We respect the intellectual property rights of others. If you believe any content on the Site infringes your copyright, or that any link on the Site directs users to a website containing material that infringes your copyright, please send a notification of infringement to our designated agent at [email protected] We may notify our users of such a claim of infringement by means of a general notice on the Site, by email, or by written communication.

9. Trademarks

All trademarks, service marks, logos, product names, and company names featured or displayed on the Site are owned by us, our Affiliates, suppliers, or licensors. You may not copy, imitate, or use any trademark or service mark, in whole or in part, without prior written consent from the owner of the mark. You may not use metatags or hidden text utilizing any name or trademark of Wysdom or The Academy of Medical Wisdom, LLC, without our prior written consent. The overall look and feel of the Site (including page headers, custom graphics, button icons, and scripts) are our trade dress and may not be copied, imitated, or used without our prior written consent. All other trademarks mentioned on the Site are the property of their respective owners.

10. Hyperlinks

We grant you a limited, non-sublicensable, non-exclusive right to create a text hyperlink to our Site for non-commercial purposes, as long as such a link does not portray Wysdom, The Academy of Medical Wisdom, LLC, or any of our products or services in a false, misleading, derogatory, or otherwise offensive manner. The linking site must not contain pornographic or illegal material, or any material that is otherwise objectionable. This right may be revoked at our discretion at any time. You may not use our proprietary graphics or trademarks to link to the Site without our express written consent. Furthermore, you may not frame or mirror any trademark, logo, or proprietary information on the Site without our prior written consent.

11. Third-Party Sites and Content

Our Site may link to or host third-party products, services, or content (“Third-Party Sites and Content”). These links are provided solely for convenience and do not imply our endorsement, approval, control, or adoption of any Third-Party Sites and Content. We make no representations about and assume no responsibility for such third-party offerings. Your use of these links and any Third-Party Sites and Content is at your own risk. Once you leave our Site, our terms and policies no longer apply; you should review the terms of use and privacy policies of any external site you visit.

12. Advertisements and Promotions; Third-Party Products and Services

We may display advertisements and promotions from third parties on the Site or provide information about or links to third-party products or services. Your business dealings or correspondence with such third-party advertisers, and any terms or conditions associated with those dealings, are solely between you and the third party. We are not responsible for any loss or damage incurred as a result of such dealings or as a result of the presence of such advertisers or third-party information on the Site.

13. User Content and Interactive Features

The Site may include various discussion forums, hosting and storage services, user-generated content areas, or other interactive features (collectively, “Interactive Areas”), wherein users or third parties may post, upload, store, or share content, messages, data, information, text, music, sound, photos, video, graphics, code, or other materials (“User Content”). You are solely responsible for your use of such Interactive Areas and do so at your own risk.

By uploading User Content to the Site, you hereby transfer and assign to The Academy of Medical Wisdom, LLL (d/b/a Wysdom) all right, title, and interest in and to the copyright in such User Content. Subject to these Terms of Use, you are granted a limited, non-exclusive license to use the uploaded User Content for your own personal, non-commercial purposes. Any other use, reproduction, modification, distribution, or display of the User Content requires the express prior written approval of The Academy of Medical Wisdom, LLL (d/b/a Wysdom).

You agree not to post, upload, transmit, distribute, store, create, or otherwise publish through the Site any User Content that:

  • Is unlawful, defamatory, libelous, obscene, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, fraudulent, or otherwise objectionable;
  • Would constitute or encourage criminal conduct, violate the rights of others, or otherwise create liability under any local, state, national, or international law;
  • May infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party (except as permitted under the limited personal use license above);
  • Impersonates any person or entity or misrepresents your affiliation;
  • Contains unsolicited promotions, advertising, or solicitations;
  • Includes personal information (e.g., addresses, social security numbers, credit card numbers) that could pose a privacy or security risk;
  • Contains viruses or other harmful files; or
  • In our sole judgment, is objectionable or restricts any person from using or enjoying the Interactive Areas or the Site, or exposes us or our users to potential harm or liability.

We do not control and assume no responsibility or liability for any User Content posted or stored by you or any third party, nor are we liable for mistakes, defamation, slander, or other unlawful content you may encounter. We are not obligated to screen, edit, or monitor User Content, but we reserve the right to remove or edit User Content at our sole discretion at any time for any reason. You alone bear the responsibility for backing up your User Content.

You represent and warrant that you have the legal right to transfer the copyright in any User Content you upload and that your use of the content for personal purposes does not violate these Terms of Use or the rights of any third party.

14. Code of Conduct

The Academy of Medical Wisdom, LLL (d/b/a Wysdom) is committed to providing a respectful and informative platform for its users. To ensure a positive experience for all, users agree to adhere to the following Code of Conduct:

14.1. Rules and Guidelines
  • The Site is intended for professional and educational discourse. Discussions and comments should be used to stimulate constructive conversation and not to create contention. Users shall participate in discussions in a meaningful way to contribute to the knowledge base of the community. Personal attacks will not be tolerated.
  • Users are prohibited from posting commercial messages, advertisements, or promotions in any area of the Site. Users should avoid direct promotion of products or services to other users unless explicitly within a designated advertising space.
  • Users shall exercise caution when discussing products, treatments, or medical devices. Information posted on the Site is available for all to see, and comments are subject to laws regarding libel, slander, and unfair competition.
  • Users shall respect the rights of patients, colleagues, and other healthcare professionals, and shall safeguard patient confidences within the constraints of the law. Sharing protected health information (PHI) or any identifiable patient data is strictly prohibited.
  • Users shall exercise professionalism, consideration, and respect in their speech and actions and must refrain from demeaning, discriminatory,1 or harassing behavior and speech. Users who experience or witness such behavior are encouraged to report it to us using the reporting mechanisms available on the Site.
  • Users shall abide by all copyright provisions outlined in these Terms of Use, particularly regarding the ownership and use of uploaded content.
  • Users are prohibited from sharing their account credentials (username and password) with any other individual. Each user is responsible for maintaining the security of their own account.
  • Users must post content under their own legal name and are prohibited from posting content under the name or account of any other person.
  • Users acknowledge that we reserve the right to reject or remove any message or content that does not comply with this Code of Conduct.
  • No user may purport to speak on behalf of The Academy of Medical Wisdom, LLL (d/b/a Wysdom) without prior written consent.
14.2. Best Practices
  • When participating in discussions, provide relevant details such as your name, affiliation, and relevant credentials, if appropriate and permitted by privacy settings.
  • State concisely and clearly the topic of your comments in the subject line or the beginning of your post.
  • Include only the relevant portions of the original message in your reply, and delete any unnecessary header information.
  • Consider the relevance of your message to the broader community before posting.
  • Use private messaging features for communications that are relevant only to specific individuals.
  • If posting lengthy messages, provide a warning at the beginning of the message.
14.3. Additional Rules
  • No Spam: Spamming and trolling are prohibited. This includes using site messaging systems to distribute unsolicited content.
  • No Unauthorized Advertising: Do not advertise or promote products or services through unauthorized channels, such as within discussion forums, and do not use affiliate links.
  • No Medical Advice: Users must not provide or solicit medical advice on the Site. The Site is for educational purposes only, and users should always seek advice from qualified healthcare providers.
  • No Discussion of Fees or Anti-competitive Conduct: Do not discuss fees, pricing, reimbursement rates, or engage in discussions that could be construed as anti-competitive, such as boycotts or price-fixing.
  • No Infringement of Intellectual Property: Do not post any content that infringes the copyright, trademark, or other intellectual property rights of others. You are responsible for ensuring you have the necessary rights to any content you upload.
  • No Account Sharing: Sharing account credentials (usernames and passwords) is strictly prohibited.
  • No Impersonation: Users must post under their own legal names and cannot post under the name or account of another person.
14.4. Consequences of Unacceptable Behavior and Moderation
  • We reserve the right to moderate User Content and user behavior on the Site.
  • Users may report content that they believe violates this Code of Conduct using the reporting mechanisms available on the Site.
  • We will review reported content and determine, in our sole discretion, whether a violation of this Code of Conduct has occurred.
  • We may take actions including, but not limited to, removing content, issuing warnings, suspending user accounts, or terminating user accounts, depending on the severity and nature of the violation.
14.5. Moderation Process
  • Our moderation decisions are final.
  • We will make reasonable efforts to notify users of any moderation actions taken and the reasons for them.
14.6. Disciplinary Options
  • The following disciplinary options may be applied to users who violate this Code of Conduct:
    • Warning: A written notification that the user's behavior was unacceptable and that further violations may result in more severe consequences.
    • Temporary Suspension: The user's access to the Site is temporarily restricted for a specified period. Suspension may be applied for account sharing, posting content under the name or account of another person, or any other serious violation of this Code of Conduct.
    • Permanent Ban: The user's access to the Site is permanently terminated. Account sharing, posting content under the name or account of another person, especially when combined with other violations, may be grounds for a permanent ban. If the account was obtained through a subscription purchased by the user's employer or another entity, we reserve the right to notify that employer or entity of the account sharing violation.
14.7. Legal
  • This Code of Conduct is incorporated into and governed by the Terms of Use and Privacy Policy of the Site.
  • We disclaim any liability for User Content and are not responsible for the actions of users.
  • We reserve the right to modify this Code of Conduct at any time.
15. Submissions

If you submit ideas, suggestions, or other feedback (“Feedback”) regarding the Site, our services, or any related matter, you acknowledge that:

  • Such Feedback is not confidential;
  • We have no obligation to keep it confidential;
  • We are free to use, disclose, reproduce, license, or distribute the Feedback in any manner;
  • You are not entitled to any compensation or acknowledgment from us for such Feedback.
16. Disclaimer of Warranties

THE SITE, ALL MATERIALS, ALL CONTENT, AND ALL FEATURES OR SERVICES ON THE SITE ARE PROVIDED ON2 AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT3 NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE, MATERIALS, CONTENT, OR ANY OTHER INFORMATION OFFERED ON OR THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE WILL NOT BE LIABLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS. WE MAKE NO REPRESENTATIONS ABOUT THE RELIABILITY, SECURITY, OR AVAILABILITY OF THE SITE, AND ASSUME NO RESPONSIBILITY FOR ANY UNAUTHORIZED ACCESS TO OR MODIFICATION, SUSPENSION, OR DISCONTINUANCE OF THE SITE OR ITS FEATURES.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, LICENSORS, OR OUR OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING,4 BUT NOT LIMITED TO, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE OR YOUR USE OR INABILITY TO USE THE SITE, CONTENT, OR ANY RELATED MATERIALS, EVEN5 IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SITE SHALL BE LIMITED TO THE AMOUNT YOU PAID US, IF ANY, TO ACCESS OR USE THE RELEVANT PORTION OF THE SITE.

18. Disclaimer of Tort Liability

To the fullest extent permitted by law, you waive and release any and all claims and causes of action against us, our affiliates, licensors, and our and their respective officers, directors, employees, agents, and representatives for any damages, losses, liabilities, costs, and expenses of any kind, whether based on contract, tort (including negligence), strict liability, or any other legal theory, arising out of or relating to your use of the Site, the Materials, or the Content. This includes, without limitation, any claims for personal injury, emotional distress, or property damage.

19. Indemnification

You agree to indemnify, defend, and hold harmless us, our Affiliates, and our or their respective officers, directors, employees, agents, independent contractors, and service providers (collectively, “Indemnified Parties”) from any claims, actions, demands, losses, or damages (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Site, Materials, or Content;
  • Your conduct;
  • Your breach of these Terms of Use; or
  • Your violation of any rights of a third party.
20. Termination

We reserve the right, without notice and at our sole discretion, to suspend or terminate your license to use the Site (including blocking your future access to the Site) for any reason.

21. Miscellaneous
  • Applicable Law & Venue: These Terms of Use will be governed by and construed in accordance with the laws of the state or jurisdiction of Santa Clara County, California. You agree that any legal action arising out of these Terms of Use shall be brought exclusively in the applicable courts in that state or jurisdiction, and you consent to personal jurisdiction and venue there.
  • Assignment: You may not assign or transfer any rights or obligations under these Terms of Use without our prior written consent. We may assign our rights and obligations freely, including to our Affiliates or to any successor entity.
  • Severability: If any provision of these Terms of Use is found unenforceable, that provision shall be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
  • Entire Agreement: These Terms of Use, together with any policies referenced herein (including our Privacy Policy), constitute the entire agreement regarding your use of the Site and supersede all prior or contemporaneous agreements or representations, whether written or oral, relating to the Site.
  • No Waiver: Our failure to enforce any right or provision in these Terms of Use does not constitute a waiver of such right or provision.
